Terms of Service

1. Agreement

These Terms of Service ("Terms") are a contract between Eccelerator LLC ("Relay", "we") and you, the person or organisation using the Relay service at ugctoads.com and its subdomains (the "Service"). By creating an account, connecting a platform account, or using the Service, you agree to these Terms and to our Privacy Policy.

2. Eligibility

The Service is for business use. You must be at least 18 years old and, if acting for a company, authorized to bind it. The Service is offered to customers in the United States during the pilot.

3. Accounts

You are responsible for your account credentials and for activity under your account. Keep your contact details current. Tell us promptly at support@ugctoads.com if you suspect unauthorized use.

4. Connected accounts

You may connect third-party accounts (TikTok Shop, TikTok Ads, Meta Ads, TikTok Login Kit, Euka) only if you own them or are authorized by the owner to do so. You grant Relay permission to access those accounts at the scopes you approve, solely to provide the Service. You can disconnect at any time. Relay is read-only on advertising accounts; it does not create, edit or launch ads.

5. Acceptable use

You will not: use the Service to violate any law or third-party right; access another customer's data; reverse engineer, scrape or overload the Service; upload malicious code; use the Service to build a competing product; or use data from the Service for purposes prohibited by the platform from which it was obtained.

6. Third-party platform terms

Your use of TikTok, TikTok Shop, Meta and Euka through Relay is also governed by their terms, including the TikTok Terms of Service, TikTok Developer Terms, TikTok Shop Partner terms, and Meta Platform Terms. Those platforms may change or withdraw API access at any time, which may affect the Service. Relay is not affiliated with or endorsed by TikTok, ByteDance or Meta.

7. Content and intellectual property

Creator content remains the property of the creator, and usage rights are governed by the agreement between the creator and the brand. Relay records rights status but is not a party to those agreements. Brand data belongs to the brand. Relay grants you a limited, non-exclusive, non-transferable licence to use the Service. Relay and its software, design and documentation remain the property of Eccelerator LLC. You grant Relay a licence to process your data only as needed to provide the Service.

8. Fees

During the pilot, fees are set out in the written pilot agreement between Relay and each brand. Fees are exclusive of taxes. Unless the pilot agreement says otherwise, fees are payable monthly in advance and are non-refundable.

9. Disclaimers

The Service is provided "as is" and "as available". Metrics depend on third-party APIs and may be delayed, incomplete or unavailable. Recommendations are informational and do not guarantee any advertising result. To the fullest extent permitted by law, Relay disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, Eccelerator LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for all claims relating to the Service is limited to the fees you paid to Relay in the 12 months before the claim arose, or one hundred US dollars if you have paid no fees.

11. Indemnity

You will indemnify Eccelerator LLC against claims arising from your breach of these Terms, your connected accounts, or your violation of any platform's terms or any law.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of these Terms, for legal reasons, or if a platform withdraws the access the Service depends on, with notice where practicable. On termination we delete your data as described in the Privacy Policy. Sections that by their nature should survive (intellectual property, disclaimers, liability, indemnity, governing law) survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Courts located in that state have exclusive jurisdiction, and each party consents to that jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other.

14. Changes

We may update these Terms. We will post the new version here with a new effective date and, for material changes, notify account holders by email at least 14 days before they take effect. Continued use after that date is acceptance.
